TERMS OF USE AND END USER AGREEMENT

Effective: January 1, 2025

Please read this Terms of Use and End User License Agreement hereinafter labelled as “Terms of Service” (collectively, the "Agreement") carefully before using the Coverstar application software and website (collectively, the "App"), provided by Norae Inc. ("we," "our," or "us"). By using our App, you agree to comply with and be bound by all terms and conditions of this Agreement. If you do not agree with any of the terms, you are not authorized to use the App. Norae Inc. reserves the right to modify this Agreement at any time, and those changes will become effective upon posting. This Agreement applies to all users, including visitors, users, and those who download, access, or use the App ("Users").

1. Age Requirements

There is no specific age limitation for using the Coverstar App. However, if you are under the age of 13, you must obtain parental consent before creating an account. For residents in jurisdictions with additional age-related protections, such as the California Age-Appropriate Design Code (CAADC), our App complies with the applicable age-appropriate privacy protections for users under 18 years of age.

2. License to Use the App

Subject to the terms of this Agreement, Norae Inc. grants you a non-exclusive, limited, non-transferable, revocable license to use the App solely for personal, private, non-commercial purposes, and only in accordance with the App's intended features. Norae Inc. reserves all rights not explicitly granted in this Agreement, including intellectual property rights. Norae Inc. may terminate or suspend this license at any time, with or without cause.

3. Commercial Use Restrictions

The App is for personal, non-commercial use only. Commercial use of the App or its content by any third party is strictly prohibited.

4. Coverstar Accounts

Your Coverstar account grants access to the App and its features. If you connect your account to a third-party service, you consent to Norae Inc.'s access and use of your information from that service, as permitted by the service's Terms and Privacy Policy.

You are solely responsible for your account activity and must ensure your account information is accurate and secure. You should protect your password and notify Norae Inc. immediately if you suspect unauthorized access to your account. Norae Inc. is not liable for any losses due to unauthorized account activity.

By providing your email address, you consent to receiving App-related notices, including legal communications, via email.

5A. Subscriptions

Coverstar offers auto-renewable subscription services (“Subscriptions”) that provide access to premium features.

Coverstar Premium – Monthly
• Duration: 1 month
• Price: Varies by country (for example, $7.99 USD/month, with a 1-week free trial where available)
• Payment: Payment will be charged to your Apple ID account at the time of purchase.
• Renewal: Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.
• Management: You can manage or cancel your subscription at any time in your App Store account settings.
• Free Trial: If a free trial is offered, it will convert to a paid subscription at the end of the trial period unless canceled at least 24 hours before the trial ends. Any unused portion of a free trial will be forfeited when you purchase a subscription.

Coverstar Premium – Yearly
• Duration: 1 year
• Price: Varies by country (for example, $69.99 USD/year, with a 1-week free trial where available)
• Payment: Payment will be charged to your Apple ID account at the time of purchase.
• Renewal: Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.
• Management: You can manage or cancel your subscription at any time in your App Store account settings.
• Free Trial: If a free trial is offered, it will convert to a paid subscription at the end of the trial period unless canceled at least 24 hours before the trial ends. Any unused portion of a free trial will be forfeited when you purchase a subscription.

By subscribing, you agree to be bound by these Terms of Service and our Privacy Policy.

5B. Virtual Gifts, Creator Earnings, and Fraudulent Transactions

Coverstar may offer virtual currencies, gifts, or rewards ("Virtual Items") that can be used within the App. Virtual Items have no real-world monetary value outside of Coverstar and cannot be redeemed, transferred, or exchanged except as explicitly permitted by Coverstar.

Coverstar reserves the right to withhold, reverse, or adjust any payout, reward, or virtual item balance determined, in its sole discretion, to be the result of fraudulent, invalid, or unauthorized activity. This includes but is not limited to:

Transactions that were not successfully completed or paid for.
Activities involving chargebacks, payment failures, or exploitation of system bugs.
Artificial inflation of views, engagement, or earnings.

If any gifts or Virtual Items are found to be associated with such fraudulent or invalid activity, those transactions shall be considered null and void, and users shall have no right to payment or compensation related to them.

Coverstar may temporarily suspend or delay payouts while investigating suspected irregularities. All determinations made by Coverstar regarding payout eligibility and transaction validity are final.

Participation in any creator or payout program on the App does not establish an employment, agency, or contractor relationship between you and Norae Inc. Payouts are discretionary and contingent on verification of valid activity. Coverstar is not liable for losses or damages arising from any investigation, suspension, or withholding of payments conducted in accordance with this policy.

Refunds and Reversal of Virtual Items
If a user receives, initiates, or is granted a refund, chargeback, or payment reversal from any third-party payment provider (including, without limitation, Apple Inc. or Google LLC) for the purchase of Virtual Items, coins, or in-app currency, Coverstar reserves the right to take any of the following actions, at its sole discretion and without prior notice:

Revoke or deduct the refunded amount of Virtual Items, coins, or gifts from the purchasing user’s account, including by creating a negative or zero balance until repayment is made; and, where applicable, offset or deduct the corresponding value from the recipient creator’s future balances, pending withdrawals, or upcoming payouts to reconcile refund adjustments.
Invalidate or reverse any gifts, transfers, or earnings that originated from the refunded purchase, and adjust the balances or pending payouts of any recipient accounts accordingly;
Delay, suspend, or offset payouts or withdrawals for a reasonable review period (for example, during Apple or Google refund settlement windows) to verify transaction validity;
Restrict, suspend, or terminate user accounts that engage in, or benefit from, repeated or coordinated refund activity, payment disputes, or other fraudulent use of Virtual Items.

Refunds processed by Apple, Google, or other payment processors do not entitle any user or recipient to retain Virtual Items, balances, or real-world monetary value derived from refunded transactions. Coverstar will reconcile refund data provided by payment processors against internal records and may automatically adjust balances to ensure consistency.

All determinations made by Coverstar regarding refund-related reversals, adjustments, and account actions are final and binding.

6. Prohibited Activities

You agree not to engage in any prohibited activities, including but not limited to: scraping, automated access, transmitting unsolicited communications, or attempting to interfere with or compromise the App's security. You may not use the App for commercial purposes or impersonate another person or entity.

You agree not to engage in any of the following prohibited activities:

Copying, distributing, or disclosing App content by scraping or other unauthorized means.
Using automated systems (e.g., robots, spiders) to overload App servers.
Transmitting unsolicited communications such as spam.
Attempting to compromise the integrity or security of the App.
Uploading malicious content (e.g., viruses, worms).
Using the App for commercial purposes.
Misrepresenting your identity or affiliation with others.
Interfering with the App’s proper functionality.

Norae Inc. reserves the right to modify, suspend, or terminate your access to the App, and may remove content or impose usage limits at its discretion without notice.

We may modify, suspend, or terminate the App or your access to it at any time without notice or liability, including for violations of this Agreement.

7. User Content

You retain ownership of your User Content but grant Norae Inc. a broad license to use, distribute, and modify it in connection with the App. You agree not to upload, store, or share any content that violates laws, infringes on intellectual property rights, or may cause harm, injury, or distress to others.

Norae Inc. has the right, but not the obligation, to remove User Content in its sole discretion. You are responsible for ensuring you have the necessary rights to post any content and for complying with applicable laws and regulations.

The App may allow Users to create, share, and post content such as profile information, photographs, videos, audio, and other materials ("User Content"). You retain ownership of your User Content, but by submitting it to the App, you grant Norae Inc. a worldwide, royalty-free, sublicensable, transferable, irrevocable license to use, display, modify, distribute, and create derivative works of your User Content in connection with the App.

You agree not to post or share User Content that:

Causes harm or distress to others.
Exploits children or contains inappropriate content.
Violates any laws or infringes third-party rights, including intellectual property rights.

You are solely responsible for your User Content and the consequences of sharing it. Norae Inc. reserves the right to remove any User Content that violates these guidelines.

8. User Content License Grant

By sharing your User Content, including tagging it with App-related hashtags or linking it to third-party services (e.g., Instagram, Twitter), you grant Norae Inc. a perpetual, non-exclusive, worldwide, royalty-free license to use, reproduce, modify, distribute, and display the User Content across all media and formats. This includes the right to sublicense your content to third parties.

You retain ownership of your original User Content created via the App but do not own any third-party content (e.g., music, videos) provided by the App. Such third-party content can only be used for non-commercial purposes as permitted by the App’s functionality.

9. Data Privacy and User Rights

We take your privacy seriously and comply with various data privacy regulations, including:

EU GDPR and UK GDPR: Our privacy practices are in compliance with the EU General Data Protection Regulation (GDPR) and the UK GDPR. Users in the EU/UK have the right to access, rectify, and erase their personal data.
CCPA and CPRA (California Privacy Rights): California residents can access, delete, and opt-out of the sale of personal information. We do not sell children’s data.
California Age-Appropriate Design Code (CAADC): We ensure age-appropriate privacy protections for users under 18.
Colorado Privacy Act (CPA): Users have the right to opt-out of targeted advertising, data sharing, and profiling.
Connecticut Data Privacy Act: Users can access, delete, and correct their personal data.
Florida Digital Bill of Rights (FLDBOR): Users in Florida have the right to access and delete personal data.
Montana Consumer Data Privacy Act (MTCDPA): Users have transparency regarding data usage and rights to access, delete, and correct personal data.
Texas Data Privacy and Security Act: Users can access, correct, and manage their personal data.
Utah Consumer Privacy Act (UCPA): Utah residents can access, delete, and opt-out of data sharing.
Virginia Consumer Data Protection Act (VCDPA): Virginia residents have control over their data, including rights to access, correct, delete, and opt-out of certain data processing activities.

10. Indemnification

You agree to indemnify and hold harmless Norae Inc., its affiliates, licensors, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of the App.
Your violation of this Agreement or the rights of others.
Any claims related to User Content you create, share, or distribute.

11. No Warranty

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. Norae Inc. does not guarantee that the App will meet your requirements or that it will be uninterrupted, error-free, or secure. Any content downloaded from the App is done at your own risk.

12. Limitation of Liability

To the fullest extent permitted by law, Norae Inc. is not liable for any indirect, consequential, special, punitive, or exemplary damages arising from your use of the App. Norae Inc. is not responsible for any third-party interactions or products advertised through the App.

Norae Inc.'s liability, in aggregate, will not exceed the amount you paid for the App during the period leading up to the claim. If you use the App or any of its platforms for free, Norse Inc. will not be liable for any damages or any residual liabilities arising from your free use of its services.

13. Third-Party Beneficiaries

This Agreement does not confer any rights or benefits on third parties except as expressly provided.

14. Trademark Information

You agree not to display or use any trademarks, service marks, logos, or brand features of Coverstar or Norae Inc. without prior written consent.

16. Updates to the Agreement

Norae Inc. reserves the right to modify this Agreement at any time. Any changes will be posted on this page and shall take effect from the date referenced in the Effective date above. By continuing to use the App after changes are made, you collectively accept the modified terms.
